Service Agreement for P4 Assets Cloud Asset Management Platform

Welcome to P4 Assets Cloud. These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and P4 Software, a division of Grupo Barrdega ("P4 Software," "we," "us," or "our") governing your access to and use of the P4 Assets Cloud asset management platform and related services (collectively, the "Service").

Please read these Terms carefully before using our Service. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access the Service or use any services.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In that case, "you" and "your" will refer to that entity.

2.Service Description

P4 Assets Cloud is a cloud-based asset management platform that enables organizations to:

  • Track and manage physical assets across multiple locations
  • Automate depreciation calculations and compliance reporting
  • Schedule and track maintenance activities
  • Manage asset check-in/check-out workflows
  • Monitor software licenses and compliance
  • Access mobile applications for barcode scanning and cycle counting
  • Integrate with existing systems via RESTful API

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to customers.

3.User Accounts and Registration

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Use strong passwords and enable multi-factor authentication when available
  • Immediately notify us of any unauthorized use of your account
  • Not share your account credentials with third parties
  • Log out from your account at the end of each session when using shared devices

3.3 User Limits

P4 Assets Cloud offers unlimited user accounts within your subscription. However, we reserve the right to monitor usage patterns and may contact you if we detect abuse or anomalous activity.

4.Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • Transmit any malware, viruses, or malicious code
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated systems or software to extract data ("scraping")
  • Impersonate any person or entity or falsely state or misrepresent your affiliation
  • Harass, abuse, or harm other users
  • Use the Service for benchmark testing without prior written consent

5.Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including all software, documentation, designs, graphics, logos, and trademarks, is owned by P4 Software and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose only.

5.2 Your Intellectual Property

You retain all ownership rights to your data, content, and materials uploaded to the Service ("Customer Data"). By using the Service, you grant us a limited license to host, process, and display your Customer Data solely for the purpose of providing the Service to you.

6.Data Security and Privacy

We implement industry-standard security measures to protect your data, including:

  • SOC 2 Type II certified infrastructure
  • AES-256 encryption for data at rest
  • TLS 1.2+ encryption for data in transit
  • Regular security audits and penetration testing
  • Role-based access controls (RBAC)
  • Daily automated backups with point-in-time recovery

7.Payment Terms and Billing

7.1 Subscription Fees

P4 Assets Cloud operates on a subscription basis. Subscription fees are based on your selected plan and usage volume, as agreed upon in your subscription agreement or quote.

7.2 Billing Cycle

Subscriptions are billed monthly or annually in advance, as selected during subscription. All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

7.3 Payment Methods

We accept payment via credit card, ACH transfer, or wire transfer for enterprise customers. You authorize us to charge your selected payment method for all applicable fees.

7.4 Late Payments

If payment is not received within 30 days of the invoice date, we reserve the right to suspend access to the Service until payment is received. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7.5 Price Changes

We reserve the right to modify subscription pricing with 30 days' written notice. Price changes will take effect at the start of your next billing cycle.

8.Service Levels and Availability

8.1 Uptime Commitment

We commit to a 99.9% uptime Service Level Agreement (SLA) for the P4 Assets Cloud platform, calculated monthly. Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance.

8.2 Support

Standard support includes email and chat support during business hours (9 AM - 6 PM local time, Monday-Friday). Premium support with 24/7 availability and phone support is available as an add-on.

8.3 Maintenance

We perform regular maintenance to ensure optimal performance and security. Scheduled maintenance will be announced in advance, and we will make reasonable efforts to minimize disruption to your operations.

9.Customer Data and Ownership

9.1 Data Ownership

You retain all rights, title, and interest in and to your Customer Data. We claim no ownership over any Customer Data you upload or create within the Service.

9.2 Data Processing

We process your Customer Data solely to provide the Service and as directed by you. We will not use your Customer Data for any other purpose without your explicit consent.

9.3 Data Portability

You may export your Customer Data at any time using the Service's export functionality or API. Upon termination of your subscription, you will have 30 days to export your data before it is permanently deleted.

9.4 Data Deletion

Upon request or termination of your subscription, we will delete your Customer Data within 30 days, except where retention is required by law or for legitimate business purposes (e.g., billing records, audit trails).

10.Warranties and Disclaimers

10.1 Service Warranty

We warrant that the Service will perform substantially in accordance with our published documentation under normal use. This warranty does not cover issues caused by misuse, unauthorized modifications, or third-party software.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that defects will be corrected. You acknowledge that your use of the Service is at your sole risk.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL P4 SOFTWARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12.Termination and Suspension

12.1 Termination by You

You may terminate your subscription at any time by providing written notice. Termination will be effective at the end of your current billing cycle. No refunds will be provided for unused subscription time unless required by law.

12.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Non-payment of fees
  • Violation of the Acceptable Use Policy
  • Fraudulent or illegal activity
  • Request by law enforcement or government agency

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. You will have 30 days to export your Customer Data before it is permanently deleted. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13.Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and terminate your subscription.

14.Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall first be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC).

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
